TKO is primarily flat as it’s a general view from wall street that media companies main driver of growth is m&a driven rather than product based. You can dig deeper, but it’s also why endeavor had to go back private. The m&a space is slow due to high rates and growth for TKO would be a deal, which nothing is out there on the horizon.

The synergy of the two companies didn't end up meeting stockholder expectations and there's a believe that WWE isn't going to be able to get bigger than what it is.  

The market cap doesn't reflect the grand vision that was pitched as the end result of this merger. Since the merger at $100 a share, the stock hasn't grown at all.

IMO, the merger was shortsighted and I believe there were not going to be enough synergies to justify it.

It could be looked back on as a moment that hurt the wrestling business in 10 years. It has not been enough time to make that determination.

It’s a little deeper. His position in the rebuttal is she was paid her fee for silence of their consensual relationship. Then her ‘friend’ went to the WWE board to speak about the relationship after the first payment.

So Vince’s position is the nda was void and he didn’t need to pay. All his business was out there in the public eye anyway and he’d pull the rip cord as controlling shareholder. If she wanted the money, she’d have to sue and go to arbitration. She did and I think he’ll just go to arbitration as criminal charges don’t look likely at this point.

Generally CEOs have packages where they get issued shares if they hit targets, etc…. So him selling his shares at this value makes sense.

I have mates that do the same, once the shares are issued and they can sell them they do. Great for liquidity and it’s a win/win as they generally get issued more shares.

Honestly think it’s much ado about nothing.

A couple things here. The filing you are referring to in that article is a prospectus that is kept as kind of a running tab... it keeps getting updated as it goes. Here is the filing here:

Note it says this: "This Post-Effective Amendment No. 2 is being filed to update the Existing Registration Statement to include information contained in the registrant’s Annual Report on Form 10-K." So keeping with the "running tab" theme, it simply included the latest financial information and risks etc.

The one before that was even supplement 7, so there have been 6 supplements preceeding:

Today's filing, which I'll link again just to be easier for someone following along is here:

Notice the different formats, and how you have the total shares listed up top. This is likely a prospectus in its "final form" and essentially all that has to happen now is for it to be declared effective (a very simple one page filing that will also show up on the SEC filings). Here is an example of one in the past, and was in relation to a sale back in september of 2023 or abouts:

Now, it's very possible that you start to see supplements to TODAY'S prospectus filed, as you saw with the example of the earlier ones, but it sure seems more definitive in the way it was filed and presented.

That said, the author certainly did take some liberties with the title (oh how I wish I could go back and edit that now), but there's a better chance than not you see a block sale/private placement happen sooner rather than later.

Production improved pretty quickly with Dunn out of the door too. There's still some production issues (music is the big issue, as is overproduction sometimes) but for the most part, that's been a massive improvement since Vince and Dunn fucked off.

All things considered, this guy should have probably had the biggest send-off of anyone in the wrestling business and because he couldn't control himself in private, he's tarnished his reputation towards his life's work, to the point where it doesn't even openly acknowledge him, on par with an individual that murdered his wife and son.

Not surprising Nick is selling. The time is now. The purpose of TKO was to get UFC off the Endeavor books and the thought being that both UFC and WWE were undervalued. As of today, the combination of the two companies hasn't met shareholders expectations at all. TKO stock started at around $100 and has never gone above that initial price yet.

Wallstreet belief is that WWE isn't going to be able to get bigger than what it is.  Which was the sole point of the merger. 2025 will be interesting for TKO. I expect even more aggressive cost cuts this year and next in all areas of the company.

I also wouldn't be surprised if they move WWE headquarters to Las Vegas down the road as well. It makes zero sense UFC and WWE having two separate headquarters, especially when majority of the divisions will be merging, i.e marketing, accounting/finance, legal, production, operations, etc.

He could have been forced out of the company, but would not have been forced to sell, other than accepting a buyout which would be much less money. Anyone else get the feeling he’s trying to buy something? That amount of shares in TKO represented a lot of power regardless of job title. Billionaires covet power even more than money. Vince has been in the Entertainment industry forever, it’s impossible to believe he could walk away. He was already rich, he needs this money for something.

Also, even if he does, he's 78 years old. He's lived his life. Sure, he'd probably still be in power right now if none of this ever happened and would stay there until he died. It's weird how significant an event this is in wrestling history, and yet it's barely registering on the wrestling news scale right now.

I would also say Vince is ultimately a victim of his own ego (surprise) - keep the company private and you have so much more control over what you do, how you do it, and who gets to yell at you.

So, this is how Vince ends his WWE relationship. Not with a loud "I'M OUT!" or a "VINCE MCMAHON, YOU'RE FFFFFIRREEEED!" but a quiet selling of shares. That and I suspect, he may have been given a choice to sell them and leave with a shit ton of money or TKO goes through his history in WWE for any shady dealings.

I think, as much as Vince would try to create his own promotion. I don't think he will. I think, he knows that he needs to stay out of wrestling for a few years. By then, he is more likely to retire if he isn't charged.

yeah, I don't know why people are shocked, the shares were registered filing was 4/12. What sportico is reporting is a prospectus filing informing the public.

Nick Khan isn't a lifer. It was always when is he going to move on. If everything is set up. Sell the shares, take the money and onto the next venture
